Abstract

6102 sayılı Türk Ticaret Kanunu?nun (TTK) 39 ilâ 52 nci maddelerinde düzenlenen ticaret unvanı, ticari hayatta kullanılan, taciri diğer tacirlerden ayırt etmeye hizmet eden, bu fonksiyonu ile diğer ayırt edici işaretlerden ayrılan bir tanıtıcı işaret ve ticari işletmenin malvarlığına dahil bir gayri maddi malvarlığı hakkı, TTK ?nın kabul ettiği terim ile bir ?fikri mülkiyet hakkı? dır. Tezin amacı, TTK ?nın ticaret unvanına ilişkin düzenlemesinin, 6762 sayılı (eski) TTK?nın ilgili düzenlemesi ile karşılaştırılarak tanıtılması ve eski TTK?nın bu konudaki düzenlemesi ile ilgili Yargıtay içtihadının ortaya konulması, Yargıtay uygulamasında TTK ile getirilen değişiklik ve yeniliklerin ne gibi sonuçlar doğuracağının incelenmesidir. Bu amaçla Tezde; ilk olarak ticaret unvanı kavramı üzerinde durulmuş, sonra ticaret unvanının oluşturulması ve ticaret unvanı oluşturulduktan sonra meydana gelen birtakım değişikliklerin ticaret unvanına etkisi, kısaca ticaret unvanının değiştirilmeksizin kullanımına devam edilebileceği hallerden bahsedilmiş, bundan sonra ticaret unvanının kullanılmasında tescil ile birlikte kazanılan tekel hakkı, ticaret unvanı ticari dürüstlüğe aykırı bir şekilde başkası tarafından kullanılan kişiye tanınan dava hakları ve bildirim zorunluluğu ile TTK ?nın ticaret unvanına ilişkin hükümlerinin ihlali halinde uygulanacak yaptırımlar anlatılmıştır.

In 6102 enumerated Turkish Commercial Code (TCC) from the articles 39 to 52 regulated about the trade name, trade in life. This code is used to serve to distinguish merchant from other merchants by using, the other distinguishing marks, and an identifying mark for commercial and financial assets of a business's assets which are seized to including the TCC's adopted by the term "intellectual property rights". The main purpose of this thesis; is to compare the TCC?s 66762 enumerated (former) regulation about the trade name with the new regulation and analyzing the consequences and changes that the new TCC regulation will bring and change in Supreme Court of Appeals. For that reason; in the thesis firstly; the trade name concept is emphasized. Secondly; the trade name title creation process and consequences that comes after it's creation: the impacts of changes in trade title and events are explained. And thirdly; registry monopoly rights are explained in terms of event of any violation about using the trade name with a registered title by someone else, and as a result the consequences of this kind of violation of the honesty of the trade and trade name are explained including the sanctions in case of violation about the trade name according toTCC's.
