Arsa Payı Karşılığı İnşaat Sözleşmesinde Müteahhidin Temerrüdü ve Sonuçları

Abstract

Tezin konusu, müteahhit ile arsa sahibi aralarında akdedilen arsa payı karşılığı inşaat sözleşmesinin tanımı, şekli ve hukuki niteliği ile müteahhidin teslim borcunu zamanında ifa edememesi nedeniyle temerrüde düşmesi ve buna bağlanan sonuçlardır. Arsa payı karşılığı inşaat sözleşmesi uygulamada sıkça rastlanan ve doktrinde çeşitli tartışmalara yol açan sözleşme türü olduğundan inceleme konusu olarak tercih edilmiştir. Arsa payı karşılığı inşaat sözleşmesinin hukuki niteliğinin belirlenmesi noktasında, arsa sahibinin sözleşmeden dönmesi üzerine sözleşmenin ileriye etkili feshedilmiş olacağına ilişkin 1984 tarihli Yargıtay İçtihadı Birleştirme Kararı üzerinde durularak, konu doktrinde ileri sürülen farklı görüşler ile açıklanmış ve ayrıntılı olarak tartışılmıştır. Sözleşmede kararlaştırılan şekilde ve sürede inşaatın tamamlanarak teslim edilmemesi üzerine müteahhidin temerrüde düşmesinin koşulları ile müteahhidin temerrüde düşmesi sonucunda arsa sahibinin sahip olduğu seçimlik hakları kullanabilmesinin koşulları ve buna bağlanan sonuçlar detaylı biçimde incelenmiştir. Tez; doktrinde konuya ilişkin ileri sürülen görüşler ve Yargıtay uygulaması çerçevesinde ele alınmak suretiyle, teori ve pratik arasındaki farklılıklar belirlenerek kişisel kanaatin aktarılmasıyla şekillenmiştir.

The subject of the thesis is about definition, type and legal characteristics of the Flat for Land Share Construction agreement, signed between contractor and land owner; lapsing of ontractor, who fails to realize his/her delivery liability on time, into the default and the results, that are affiliated to it. The Flat for Land Share Construction Agreement has been preferred as subject of the study since it is a type of agreement, which is very much common in practice and leads to various discussions in the doctrine. At the point of determining the legal characteristic of Flat For Land Share Construction agreement, the subject has been explained with different opinions and discussed in detail by dwelling on Supreme Court Decision of Joint Chambers, dated 1984 related to the proactive termination of agreement upon renege of land owner on the agreement. The conditions of Contractor's lapsing into the default upon not delivering the construction on time by completing it in the manner and period as defined in the agreement and the terms of using of rights of choice, which the land owner has, as a result of Contractor's lapsing into default and the consequences that are affiliated to it, have been reviewed in detail. The Thesis has been formed by determining the differences between theory and practice and transmitting personal opinion by means of approaching it within frame of the Supreme Court application and suggestions related to the subject in the doctrine.
