Limited Şirketlerde Ortaklıktan Çıkma ve Çıkarılma

Abstract

Tezimizin konusunu, limited şirketlerde ortağının Türk Ticaret Kanunu kapsamında ortaklıktan çıkması ve çıkarılması ile ilgili düzenlemelerin incelenmesi oluşturmaktadır. Çalışma dört bölümden oluşmaktadır. Birinci bölümde limited şirketlerin, şirketler hukukundaki yeri, limited şirketlerde ortaklık sıfatı ve ortaklık sıfatının sona erme halleri giriş niteliğinde olmak üzere hazırlanmıştır. İkinci bölümde limited şirket ortağının şirketten çıkması ve 6102 sayılı Türk Ticaret Kanunu'nun getirmiş olduğu en önemli yeniliklerden olan "çıkmaya katılma" konusu incelenmiştir. Üçüncü bölüm limited şirket ortağının çıkarılması konusu ele alınmıştır. Dördüncü bölümde ise çıkma ve çıkarılmanın sonuçlarına, özellikle ayrılma akçesi ile ilgili düzenlemelere yer verilmiştir.

The subject of our thesis is the examination of the regulations concerning the exit and removal of the partner within the scope of the Turkish Commercial Code in limited companies. The study consists of four parts. In the first part, the place of limited companies in corporate law, the title of partnership in limited companies and the termination of the title of partnership are prepared as an introduction. In the second part, the exit of the limited company partner from the company and the issue of "joining the exit", which is one of the most important innovations brought by the Turkish Commercial Code numbered 6102, are examined. In the third part, the issue of removing the limited company partner is discussed. In the fourth section, the results of the exit and removal, especially the arrangements related to the separation allowance are included.
